Jennifer has significant experience representing institutional lenders in commercial real estate finance transactions. She primarily represents lenders who originate loans for multifamily housing projects around the country, which loans are then sold to Freddie Mac and securitized. Since joining Moss & Barnett in 2005, Jennifer has successfully managed and closed hundreds of such finance transactions involving a variety of deal structures, including tenancies in common, ground leases, master leases, joint ventures, preferred equity, partial and fractured condominiums, and reverse 1031 exchanges.
Jennifer has extensive experience preparing and negotiating loan documents as well as examining and analyzing entity organizational documents, trust documents, land use restriction agreements, regulatory agreements, condominium and homeowners association documents, and other legal due diligence. She also advises clients on deal structuring and complying with the requirements of the Freddie Mac programs and Standard & Poor’s U.S. Commercial Mortgage-Backed Securities Legal and Structured Finance Criteria.
Prior to joining Moss & Barnett, Jennifer was in-house counsel for a real estate development and investment firm specializing in affordable housing developments that used multiple sources of funding, including low-income housing tax credits, agency loans, Section 8 contracts, and property tax abatements and exemptions. Jennifer’s prior experience as developer counsel provides valuable insight into – and a keen understanding of – business and property operations. This enhances her ability to identify and negotiate solutions where legal requirements and business needs intersect, and to navigate the complexities involved with senior housing, manufactured housing, and affordable housing properties.
Another notable part of Jennifer's practice is the representation of a large regional utility with respect to real estate finance, title, and Uniform Commercial Code matters. Much of her work on behalf of this client relates to a multistate bond indenture that is among the largest mortgages in Minnesota.
